A patent without a commercialisation plan is just a document sitting in a registry. For inventors, startups, and established businesses in India, the real value of a patent is unlocked when it is licensed to others who can deploy the technology at scale. But licensing is not simply a matter of signing an agreement-it demands a well-thought-out strategy that covers everything from assessing your technology’s worth to navigating complex negotiations and structuring payment terms. Getting these elements right can be the difference between a licensing deal that generates sustainable revenue and one that leaves value on the table.

Understanding the value proposition of your patent
Before approaching any potential licensee, a patent holder must develop a clear and honest picture of what the technology is actually worth in the marketplace. Under the Patents Act, 1970, a patent confers exclusive rights over an invention for up to 20 years, and that legal monopoly is the foundation of the technology’s commercial value. However, the strength of that value depends on several factors that go beyond the patent itself.
Market relevance is the first and most critical consideration-how essential is the patented technology to current or emerging markets? A patent on a pharmaceutical process that addresses an unmet medical need will command very different attention than a patent on a marginal improvement to an existing product. Technical merit matters equally: does the invention represent a significant leap, or is it an incremental step? Finally, legal strength-how defensible the patent’s claims are against potential validity challenges-directly affects the leverage a licensor can exercise during negotiations. A patent with narrow claims that can be easily designed around gives the licensee more power at the table.
Conducting a formal patent valuation, supported by market research, technical documentation, and a competitor analysis, before initiating any licensing discussion is strongly advisable. This creates a credible baseline that anchors the negotiation in data rather than expectation.
Deciding on the type of exclusivity
One of the most consequential strategic decisions in patent licensing is determining how much exclusivity to grant-and to whom. Indian and international licensing practice recognises three primary models:
An exclusive licence, as defined under Section 2(f) of the Patents Act, 1970, grants the licensee sole rights over the patent, excluding even the patent owner from exercising those rights during the licence period. Because this restricts the licensor’s own commercial freedom, it typically commands the highest royalty rates. An exclusive licensee who invests heavily in commercialising the technology expects a significant period of market protection in return.
A sole licence is a middle ground: the licensor retains the right to practice the patent but agrees not to license it to any other third party. This suits situations where the licensor still wants operational involvement but wishes to offer one commercial partner a degree of protection.
A non-exclusive licence allows the licensor to grant rights to multiple parties simultaneously. While each individual licence may attract a lower royalty rate, the aggregate revenue from multiple licensees can surpass what a single exclusive deal would generate-particularly for technologies with broad cross-industry applications. This model also reduces the licensor’s dependence on one commercial partner’s performance.
Strategic limitations as an alternative to binary choices
Rather than treating exclusivity as an all-or-nothing decision, a well-formulated strategy uses targeted limitations to optimise both market reach and revenue. Territorial exclusivity allows a licensor to grant one licensee exclusive rights in, say, South Asia, while licensing the same technology to different parties in Europe or North America. Field-of-use restrictions work similarly-a patented chemical compound might be licensed exclusively to one company for pharmaceutical applications and to another for agricultural use. These structured limitations let the patent holder maximise the technology’s reach without surrendering all commercial control to a single entity.
This approach is especially relevant in India’s growing technology and pharmaceutical sectors, where non-exclusive licences are commonly used when an innovation has applications across multiple industries and the licensor wants to maximise the financial potential of the invention.
Royalty structures and payment options
Setting the right financial terms is central to a licensing strategy. There is no single correct approach-the best payment structure depends on the nature of the technology, the risk appetite of both parties, and the commercial projections for the licensed product. Three broad royalty structures are commonly used, sometimes in combination.
Ad valorem (percentage of sales) royalties tie compensation directly to commercial performance. If a licensee generates โน10 crore in sales from the patented technology at a 5% royalty rate, the licensor receives โน50 lakh. This structure creates a form of risk-sharing: the licensor earns more as the licensee succeeds, but receives less if sales disappoint. In India’s technology sectors, patent royalties generally range from 2% to 10% of net sales, depending on the industry and the strategic importance of the patent.
Per-unit royalties fix a specific payment for each unit produced or sold. This works well for products with consistent pricing and clearly defined units of output, giving both parties predictability.
Lump-sum payments involve a one-time payment rather than ongoing royalties. This provides the licensor with immediate capital and simplifies accounting. A startup might prefer to pay a lump sum upfront for perpetual use of a specialised technology rather than commit to long-term percentage-based payments. The risk for the licensor is that a lump sum can undervalue technology that becomes unexpectedly successful.
Milestone payments and tiered rates
Beyond these three core structures, sophisticated licensing agreements often incorporate milestone payments-additional compensation triggered when the licensee achieves specific business objectives, such as reaching a certain sales volume or completing a product launch. This structure aligns both parties’ incentives while protecting the licensor if early commercialisation is slow.
Tiered royalty rates, where the percentage changes based on sales volume, are another useful tool. A licence might specify a 7% royalty on the first โน1 crore in sales, 5% on sales between โน1 crore and โน5 crore, and 3% thereafter. This can incentivise the licensee to push for higher volumes while ensuring the licensor captures proportionately higher returns in the early, higher-margin phase of commercialisation.
Minimum annual guarantees-a floor payment the licensee must make regardless of actual sales-are also worth considering. They protect the licensor’s baseline revenue and ensure the licensee remains commercially motivated rather than sitting on a licence without actively exploiting it.
Preparing for and conducting negotiations
Effective negotiation does not begin at the table-it begins weeks or months earlier with thorough preparation. Market research plays a critical role: understanding what comparable technologies are being licensed for, who the likely licensees are, and what the competitive landscape looks like gives the licensor a strong informational foundation. Without this, even a well-intentioned licensor risks either overpricing (and losing the deal) or underpricing (and leaving revenue behind).
Before sitting down to negotiate, a licensor should define their non-negotiables clearly-what royalty rate floor they will not go below, what scope of use is acceptable, what reporting and audit rights they require-while also identifying where they are prepared to be flexible. Understanding the licensee’s perspective is just as important. A licensee who is being asked to invest significantly in manufacturing or distribution will expect the financial terms to reflect that commercial risk.
Key provisions every licensing agreement must address
Under Section 68 of the Patents Act, 1970, a patent licence must be in writing to be valid, and once finalised, the licensee must register their rights with the Controller under Section 69 of the Act. Beyond these statutory requirements, the agreement itself should clearly address:
- Scope of use: Precisely what the licensee is permitted to do-manufacture, sell, import, or a combination of these.
- Territory: The geographic regions where the licence is valid.
- Duration and termination: The licence period and the specific conditions under which either party may terminate the agreement.
- Royalty structure and audit rights: The payment mechanism and the licensor’s right to verify the licensee’s compliance with financial reporting obligations.
- Sub-licensing: Whether the licensee may grant rights to others, and on what terms.
- Confidentiality: Protection of sensitive technical and commercial information disclosed during negotiations and throughout the licence period.
Section 140 of the Patents Act, 1970 specifically prohibits the inclusion of restrictive conditions in licence agreements that would have anti-competitive effects-for instance, clauses that prevent the licensee from challenging the patent’s validity or that tie the purchase of additional products to the licence. Any licensor drafting an agreement in India must be careful not to include provisions that fall foul of this provision.
Expanding market reach through multiple licensing
A licensor who grants a single exclusive licence to one party is betting entirely on that party’s commercial execution. Multiple licensing-whether through non-exclusive licences, territorial splits, or field-of-use divisions-distributes that commercial risk and can dramatically expand the technology’s market footprint. In the renewable energy sector, for example, patent holders have successfully licensed patented technologies to manufacturers across multiple geographies simultaneously, generating royalty income while ensuring the technology reaches the widest possible commercial audience.
Cross-licensing is another model worth considering where the licensor also holds a portfolio of patents. In a cross-licensing arrangement, two or more patent holders grant each other licences to use their respective technologies-often without any net royalty payment if the portfolios are of comparable value. This model fosters collaboration, reduces litigation risk, and allows each party to access innovations they would otherwise have to develop independently.
Patent pools represent a collective version of this idea, where multiple patent holders contribute patents into a shared pool. Licensees can then access the entire pool through a single agreement. Contributing members may access each other’s technologies on a royalty-free or reduced-fee basis, while fees from external licensees are distributed among pool members based on each patent’s proportionate value. Patent pools are particularly common in the technology and telecommunications industries, where standard-essential patents make individual licensing arrangements administratively complex.
Keeping the strategy flexible and current
A licensing strategy drafted today may not be equally effective three years from now. Technology evolves, markets shift, and the competitive landscape changes. A robust strategy should therefore include provisions for periodic review-mechanisms within the agreement that allow royalty rates or scope to be renegotiated at defined intervals, or performance clauses that keep the licensee commercially accountable.
For Indian patent holders looking beyond domestic markets, international licensing adds further complexity: currency risk, jurisdiction-specific regulatory requirements, tax treatment of royalty income under the Income Tax Act, 1961, and the need to register or record licences in each relevant patent jurisdiction.
